  1. Scope and Agreement

These Terms and Conditions (“Terms”) govern the use of TeamLube, a software product operated by Teamantics OÜ (“we”, “us”, “our”).

By accessing or using TeamLube, creating an account, or using any related services (together, the “Services”), you agree to be bound by these Terms. If you do not agree, you may not use the Services.

  1. The Services

We may modify, update, or discontinue parts of the Services at any time. We do not guarantee that the Services will always be available, uninterrupted, or error-free.

3. Eligibility

You may use the Services only if:

  • you are at least 18 years old, and

If you use the Services on behalf of a company or other entity, you confirm that you are authorized to bind that entity to these Terms.

4. Account Registration

To use certain features, you must create an account.

You agree to:

  • provide accurate and complete information

  • keep your login credentials confidential

  • notify us immediately of any unauthorized use of your account

You are responsible for all activities that occur under your account.

5. User Content

You may upload, submit, or generate content through the Services (“User Content”).

You retain ownership of your User Content. However, you grant us a non-exclusive, worldwide, royalty-free license to host, process, store, and display User Content solely for the purpose of operating and improving the Services.

You confirm that:

  • you have all necessary rights to the User Content you provide

  • your User Content does not violate any laws or third-party rights

We do not monitor User Content by default, but we reserve the right to remove content that violates these Terms or applicable law.

6. Acceptable Use

You agree not to:

  • use the Services for unlawful or fraudulent purposes

  • upload malicious code, spam, or harmful content

  • interfere with or disrupt the integrity or security of the Services

  • attempt to gain unauthorized access to systems or data

  • use the Services in a way that infringes intellectual property or privacy rights

We may suspend or terminate access if you violate these rules.

7. Subscriptions and Payments (if applicable)

Certain features may require a paid subscription.

If you purchase a subscription:

  • prices and billing intervals will be disclosed before purchase

  • payments are processed by third-party payment providers

  • fees are non-refundable unless required by law

We may change pricing with reasonable prior notice.

8. Intellectual Property

All intellectual property rights in the Services, including software, design, trademarks, and documentation, belong to Teamantics OÜ or its licensors.

You receive a limited, non-transferable, non-exclusive right to use the Services in accordance with these Terms. No rights are granted beyond what is expressly stated.

9. Availability and Support

We aim to provide a reliable service, but we do not guarantee:

  • specific uptime levels

  • uninterrupted or error-free operation

Support, if offered, is provided on a best-effort basis unless otherwise agreed.

10. Termination

You may stop using the Services at any time.

We may suspend or terminate your access if:

  • you breach these Terms

  • required by law

  • necessary to protect the Services or other users

Upon termination, your right to use the Services ends. Certain provisions (including intellectual property, liability limitations, and governing law) will survive termination.

11. Disclaimer of Warranties

The Services are provided “as is” and “as available”.

To the fullest extent permitted by law, we disclaim all warranties, whether express or implied, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

12. Limitation of Liability

To the maximum extent permitted by law:

  • we are not liable for indirect, incidental, special, or consequential damages

  • our total liability arising out of or related to the Services shall not exceed the amount you paid to us in the 12 months preceding the claim (or EUR 100 if no fees were paid)

Nothing in these Terms limits liability where such limitation is not permitted by law (e.g. intent or gross negligence).

13. Indemnification

You agree to indemnify and hold harmless Teamantics OÜ from claims, damages, and expenses arising out of:

  • your use of the Services

  • your User Content

  • your violation of these Terms or applicable law

14. Governing Law and Jurisdiction

These Terms are governed by the laws of Estonia, excluding conflict-of-law rules.

The courts of Estonia shall have exclusive jurisdiction, unless mandatory consumer protection laws provide otherwise.

15. Changes to These Terms

We may update these Terms from time to time. The latest version will always be available on our website.

If changes are material, we will make reasonable efforts to notify users.
